§ 1. General provisions
- These Terms of Service define the rules for the provision of the Semly.ai service by the Service Provider in the area of Generative Engine Optimization (GEO), aimed at increasing the chances of a brand, products, or user content appearing in responses generated by large AI Models utilizing artificial intelligence. The service is directed at business clients (B2B).
- The Service Provider is Droplo Limited Liability Company based in Wałbrzych, ul. Uczniowska 16, 58-306 Wałbrzych, registered in the register of entrepreneurs maintained by the District Court for Wrocław-Fabryczna in Wrocław, IX Economic Department of the National Court Register under number KRS 0000789369, NIP: 8863009117, REGON: 383546529, contact details: email: hello@semly.ai, operator of the Semly.ai online platform (hereinafter referred to as the “Platform” or “Semly.ai”).
- A Client under these Terms is an entrepreneur (a natural person conducting business activity, a legal person, or an organizational unit) who uses the Platform to increase the visibility of information about their products, services, or brand in systems based on AI Models. The Semly.ai service is intended solely for entities conducting business activity – it is not directed at consumers or entrepreneurs benefiting from consumer protection.
- The condition for using the service is registering an Account on the Platform and accepting these Terms, as well as the Privacy Policy. Upon creating an Account and accepting the Terms, a service contract is concluded between the Client and the Service Provider.
- The Terms are made available to the Client free of charge on the Platform's website in a form that allows for downloading, saving, and printing. The Client is obliged to familiarize themselves with the content of the Terms before starting to use the service.
- The Service Provider provides services electronically in accordance with these Terms and generally applicable legal regulations. In matters not regulated by the Terms, the relevant provisions of Polish law apply.
§ 2. Definitions
For the purposes of the Terms, the following terms mean:
Platform – the online platform Semly.ai available at https://semly.ai, aimed at increasing the chances of a brand, services, products, or user content appearing in responses generated by large AI Models (LLM) utilizing artificial intelligence.
Service Provider – the entity operating the Semly.ai Platform – Droplo sp. z o.o.
Client – an entrepreneur using the Platform's services in a B2B model under the conditions specified in the Terms.
Account – the individual administrative panel of the Client within the Platform, created during registration, enabling the use of the Semly.ai service (in particular, configuring data sources, selecting a service package, viewing billing cycles, and accessing data processing status).
AI Models (LLM) – large language models based on artificial intelligence, developed and made available by external entities. The Platform allows these models to analyze information about the Client's products or services, to the extent and under the conditions specified in the Terms.
Generative Engine Optimization (GEO) – means actions involving preparing, transforming, and making data available in a way that increases the likelihood of their use by generative artificial intelligence models, including large language models (LLM), in responses presented to users of these systems. GEO does not guarantee the appearance of data in results generated by AI Models and may, but does not have to, include cooperation with operators of these models.
Subscription - a way of using the paid Semly.ai service, where access to the selected plan is renewed for subsequent billing periods until canceled by the Client or the service is terminated in accordance with the Terms.
Fee – the charge for using the selected plan within the Subscription for one billing period. The term “subscription plan” refers to a plan available within the Subscription. The mere use of the word “subscription” does not imply an obligation to use the service for a year.
Content Proposals - drafts of articles and other materials generated using artificial intelligence through Semly.ai tools, intended for review, possible correction, and approval by the Client before publication or other use.
Knowledge Base - a functionality of Semly.ai providing the Client with technical resources for publishing selected content on the Internet, within the scope and limits resulting from the selected plan or additionally purchased services.
§ 3. Scope and description of the service
- Semly.ai is a platform utilizing artificial intelligence solutions, enabling entrepreneurs from Poland and other countries to increase the likelihood of their products, services, brands, or content appearing in responses generated by large AI Models (LLM). The purpose of the Platform's operation is to support the visibility of Clients' offers in generative AI systems through appropriate actions in the area of Generative Engine Optimization (GEO).
- The Semly.ai service consists of the automatic processing and optimization of data provided by the Client to increase their visibility in responses generated by selected large AI Models (LLM). The Platform adapts content to the linguistic, cultural, and technical specifics of individual markets and to the structure and characteristics of these models. As part of the service, product data may be made publicly available in a way that allows for indexing and analysis by generative systems based on artificial intelligence.
- The goal of the Semly.ai service is:
a. to process and enrich the data provided by the Client into forms better suited to the recommendation mechanisms of AI Models;
b. to redirect traffic to the Client's website directly from AI Models or via the Semly.ai Platform and other services of the Service Provider. - The Semly.ai Platform provides the Client with tools to increase the visibility of their products or services in the artificial intelligence environment. The Service Provider provides Clients with an administrative panel (Account), through which the Client can view statistics, manage payments, and modify payment terms, as well as obtain information about the current billing balance.
- The Service Provider does not participate in the sale of products and services offered by the Client. The role of the Platform is limited to processing and providing information about products in a way that allows for their consideration by AI models and directing potential customers to the Client's website via redirect links. Semly.ai does not provide sales services, sales mediation, or order handling. All sales transactions are made directly between the Client and the buyer in the Client's store.
- As part of the available functionalities, the Platform allows for the creation of Content Proposals and publishing content selected by the Client, including through the Knowledge Base. The generated materials are proposals for further editorial work. They do not constitute verified or approved content by the Service Provider. The resources provided within the Knowledge Base are intended solely for the technical publication of content on the Internet. Their provision does not include substantive or legal verification of materials or ensuring their indexing, citation, or use by search engines and AI Models.
§ 4. Registration and Client Account
- Account Registration: Using the Platform requires prior registration of a Client Account. Registration is done by filling out the registration form available on the Semly.ai website and providing the required registration data (including company and contact person details, email address, brand or online store data, etc.).
- Registration Data: The Client declares that all information provided during registration is true, current, and complete. The Client is obliged to update their Account data promptly in case of any changes. The Service Provider is not responsible for the consequences of providing false or outdated data by the Client.
- Access to the panel: After successful registration, the Client gains access to the administrative panel of the Platform (Account). Through the panel, the Client can, among other things, provide brand data, product feed, or install an application, select a service package, make payments, and view information about subscriptions and settlements.
- Account Security: The Client is obliged to secure access to their Account from unauthorized use. In particular, they should keep their login and password for accessing the Platform confidential. Any actions taken after logging into the Client's Account are considered actions of the Client. The Client should not share their Account with third parties; otherwise, they bear full responsibility for the actions of such persons within the Account.
- Suspension or deletion of the Account: The Service Provider has the right to block or delete the Client's Account in case of gross violation by the Client of the provisions of these Terms or generally applicable legal regulations, particularly if the Client uses the Platform for illegal activities or places prohibited products in the product feed (as defined in § 7 below). The Service Provider will notify the Client of the intention to block or delete the Account – if possible – (e.g., by sending an email).
§ 5. Using the service
The Semly.ai Platform processes the Client's data to make it available in a way that allows for analysis by generative AI Models, according to the following procedure:
- Creating an account and preparing data: The Client registers an Account on the Platform (according to § 4) and provides all necessary data to activate the service (information about the company, brand, preferences regarding the scope and method of data sharing within the Semly.ai service, etc.).
- Providing the product feed: if the Client operates an online store, they provide the Service Provider with an up-to-date product feed (XML file) compliant with the Google Merchant Center format or – alternatively – installs a dedicated application integrating the Platform with their online store. The product feed should contain complete data about the products offered in the store (including names, descriptions, prices, images, stock levels, delivery conditions, etc.). The Client bears full responsibility for the legality, accuracy, and right to use the data provided to Semly.ai, including the source content contained in the product feed.
- Automatic data retrieval and updates: The Semly.ai Platform automatically retrieves product data from the provided feed (or via the installed application) and regularly synchronizes it (at least once a day). This process is fully automated and does not require Client intervention. The Client should ensure that the product feed on their side always contains up-to-date data (e.g., by continuously updating price changes, stock levels, etc. in their store).
- Data processing and optimization: Semly.ai processes and optimizes the Client's data to adapt it to the specifics and requirements of individual AI Models and to user preferences in different countries. The Service Provider may modify, translate, shorten, or otherwise edit the provided data to make it friendly for AI Models and meet the conditions for effectively presenting the offer. The Client authorizes the Service Provider to make necessary modifications to the provided content in the above scope. The Client also accepts that the result of processing and optimization is not made available to them and constitutes the exclusive property of the Service Provider. Semly.ai does not provide the Client with access to this content in any form. Consequently, the Client has no claim regarding the inability to verify, edit, approve, or view the processed and optimized data. The provisions regarding the Client's lack of access to the effects of processing and optimization of data and their exclusive ownership by the Service Provider do not apply to Content Proposals provided to the Client in the content generator or materials published by the Client in the Knowledge Base. These materials are subject to § 5 sections 10–12.
- Choosing a service package: The Client selects the appropriate service package (subscription plan) from the available options, according to the current Price List. Packages may differ in scope or limits (e.g., number of products, subpages, additional features, etc.). The selection of the package is made through the Account.
- Payment of the Fee and activation of the service: After selecting the package, the Client makes a subscription payment for the selected billing period. The activation of the Semly.ai service for the Client's product data occurs after the Service Provider has recorded the required subscription payment. From that moment, the Platform begins the process of making data available to AI Models.
- Providing data to AI Models: The Service Provider provides the optimized data of the Client in a way that allows for their analysis by generative artificial intelligence models (including LLM), which process publicly available content. This process is based on Semly.ai's internal and proprietary technological solution and may, but does not have to, include cooperation with operators of these models. The provision of data occurs on the basis of their public availability on the open Internet. The Client consents to the processing and sharing of data to increase their visibility in responses generated by AI systems operating based on open sources of information. The indexing and use of data by AI Models may take from several weeks to several months (usually from 1 to 6 months), depending on factors such as: the frequency of model updates, the quantity and quality of data, market specifics, and the nature of the products or services offered. These timelines are indicative and do not guarantee the use of data by AI Models.
- Presentation of the offer and redirects: After importing the data, it becomes available to users of the given AI Model. When a user of the AI model expresses interest in the Client's product or service (e.g., by making a text query to the chatbot/Assistant about a given product, service, or category), the AI Model may display an offer derived from Semly.ai data. If the user wishes to take advantage of the offer, they will be redirected directly from the AI Model interface (or via a service belonging to Semly.ai) to the Client's website. Semly.ai does not collect any personal data from users of AI Models nor participates in the further purchasing process - the role of the Platform is limited to providing information and facilitating redirection. The only personal data processed in this process by Semly.ai are traffic data, limited to the IP addresses of users of AI Models.
- Publication of information about the Client: By accepting these Terms, the Client consents to the Platform using their name, trademark (logo), and information about cooperation for marketing purposes, particularly through publication on the Platform's website, in promotional materials, case studies, and on the Platform's Client list. Note: Modified or enriched product data processed as part of the GEO service are not made available to the Client. They serve the purpose of fulfilling the GEO service and making them available in a way that allows for analysis by generative AI Models. They do not constitute a separate service for the Client. The Client manages their own content on their website or in their store, while Semly.ai uses a copy of this data transformed for the needs of AI Models. Restrictions on access to the effects of data processing and the provisions regarding their exclusive ownership by the Service Provider do not apply to Content Proposals provided to the Client in the content generator or materials published by the Client in the Knowledge Base. These materials are subject to § 5 sections 10-12.
- Verification of Content Proposals: The Client acknowledges that artificial intelligence may generate incorrect, outdated, incomplete, or fabricated information, including incorrect data, quotes, references, and source indications. The fluency and persuasive presentation of information do not confirm their truthfulness. Before publication or other use of Content Proposals, the Client is obliged to check the entire material, verify information based on reliable sources, and make necessary corrections. Verification includes in particular:
a. the truthfulness, timeliness, and completeness of information;
b. compliance of descriptions of brands, products, services, prices, and offer conditions with the actual state;
c. correctness of numerical data, quotes, references, and indicated sources;
d. compliance of the content with the law, including respect for copyright, trademarks, personal rights, and principles of personal data protection;
e. the possibility of lawful use of materials contained in the content.
If the Client cannot confirm the correctness of the information or the right to use it, they should remove, correct, or refrain from publication. - Voluntary publication: The Client independently decides whether, when, and where to publish Content Proposals. The generation of material, its availability on the Account, or the granting of resources for publication does not create an obligation to publish it. The Client may modify the material, use only part of it, or refrain from its use. The mere generation of Content Proposals does not constitute consent to its publication. The Client may order publication using the Platform's functions only after conducting the verification specified in section 10. This also applies to publications scheduled or performed automatically at the Client's request.
- Publication in the Knowledge Base: The Client is responsible for the selection and final wording of the content they order to be published in the Knowledge Base. Ordering publication means the Client's approval of a given version of the material for public availability. The Client should consider that published content may be read, indexed, copied, and used by Internet users, search engines, and external AI systems. They should not publish confidential information or data or materials whose public disclosure violates the law or the rights of third parties. Upon discovering an error or violation in the published material, the Client is obliged to promptly correct or remove the content using available functions or report the need for correction or removal to the Service Provider.
§ 6. Subscription and fees
- Subscription model: Using paid plans of Semly.ai occurs within the Subscription. The Client selects a plan and the available billing period according to the current Price List and information presented before purchase. The SCALE plan is available only on a monthly billing period. The Client may cancel the Subscription in accordance with § 9 section 3.
- Price List changes: The Service Provider reserves the right to make changes to the Price List at any time by publishing an updated version on the website: https://semly.ai/pricing. Changes to the Price List do not affect services (subscription plans) purchased before the date of entry into force of such changes; the previous pricing conditions apply to these services.
- Payments: The Fee is payable in advance for one billing period, using payment methods available on the Platform. The amount of the fee and the period it applies to are presented to the Client before purchase. For the SCALE plan, each fee covers one month of service provision. It does not constitute an installment of a debt for an annual contract. If the Client chooses a payment method allowing for automatic fee collection and approves recurring payments, subsequent fees are collected in accordance with § 9 section 2. Prices in the Price List are net prices, to which VAT is added if applicable, unless stated otherwise.
- Service activation: Activation of the service for the Client occurs after the Service Provider receives the required subscription payment. The date of commencement of service provision is equal to the day of payment posting unless the parties agree otherwise. Each subsequent billing period begins on the condition that the Client has paid the Fee for that period before its commencement.
- Fees for the plan and additional services: The Fee includes functionalities and limits specified for the selected plan in the Price List. The Service Provider does not charge commissions on the sale of the Client's products or services nor fees for redirecting users to their site. The Client may voluntarily purchase additional resources or services, particularly additional prompts, article generation, or Knowledge Base resources. Their price, scope, and method of settlement, including whether the fee is one-time or recurring, are presented before purchase and require the Client's acceptance. Additional fees are not charged solely due to the Client being given the opportunity to purchase additional resources or services.
- Consequences of non-payment: If payment for the next billing period is not successfully made, the new paid period does not begin. The Service Provider may suspend access to paid features after the end of the last paid period. The contract is terminated at the end of this period. There is no obligation to pay for future periods in which the service is not provided. In such a case, the Client's data is stored for three calendar months from the day following the end of the last paid period. During this time, the Client may reactivate the Subscription by making a payment or request the deletion of their Account. After this period, the data deletion rules specified in § 9 section 6 apply.
§ 7. Prohibited products
- On the Platform, it is prohibited to process, promote, or share any products and content whose sale or distribution is prohibited or regulated under the provisions of generally applicable law. In particular, products (their placement in the product feed) belonging to the categories specified in Annex 3 to the Terms are not allowed.
- The reason for excluding the above categories from the service is the applicable legal regulations that impose significant restrictions or prohibitions on the trade of these products (e.g., requirements for permits, licenses, marketing restrictions, prohibitions on sales to certain groups of recipients, etc.).
- Furthermore, it is prohibited to use the Platform to promote any other goods or content that are illegal, violate good customs, or the rights of third parties (e.g., counterfeit or pirated goods, content inciting hatred, materials violating copyright, etc.).
- The Service Provider will not process or make available in AI Models data belonging to any of the above prohibited categories. If it turns out that the Client has provided Semly.ai with information about prohibited products, the Service Provider is entitled to immediately exclude this data from processing or refuse to provide the service in relation to them, and even – depending on the scale of the violation – to terminate the contract with the Client immediately (with effect before the expiration of the paid period, without the right of the Client to a refund for the unused period).
- In case of doubts regarding the legality of a given product or content, the Service Provider may ask the Client for clarification or seek legal advice. The Service Provider's decision to classify a given product as prohibited (and exclude it from the service) is final and binding on the Client.
§ 8. Liability of the parties and limitation of warranties
- Client's liability for data: The Client bears full responsibility for the data provided to the Platform and for the products or services they offer. The Client guarantees that they have all required rights and permits regarding the products or services and materials provided to Semly.ai (in particular, descriptions, product images, trademarks, etc.), and that the use of this data by the Service Provider in accordance with the Terms does not violate the rights of third parties or legal regulations. The Client undertakes to provide complete, true, and up-to-date information about products or services and purchase conditions in their store or website, as well as to promptly inform of any changes (in accordance with § 5 point 3). The Client bears all consequences of providing false, incomplete, or misleading information. In the event of third-party claims against the Service Provider related to the data or activities of the Client, the Client undertakes to indemnify the Service Provider from liability in this regard and cover any damages or costs incurred (including legal fees).
- Quality of service and availability: The Service Provider makes every effort to ensure that the Platform operates correctly and is available to the Client at all times. Nevertheless, the Semly.ai service is provided to the Client on an “as is” basis and as available. The Service Provider does not guarantee that the Platform's features will meet all of the Client's expectations or that access to the Platform will be uninterrupted and error-free. There may be temporary technical interruptions in access to the service (e.g., for maintenance, software updates, or troubleshooting) – the Service Provider will notify Clients in advance of planned longer interruptions, if possible, through a notice on the website or an email. The operation of the service also relies on the use of generative AI systems (including AI Models analyzing publicly available content), which may be provided by independent external suppliers. The Service Provider is not responsible for the improper functioning, limitations, or interruptions in the operation of external AI systems that analyze the Client's data, nor for the consequences of these entities' decisions regarding the use of data (e.g., possible delays in data publication, changes in the operation or availability of the AI Model, etc.).
- No guarantee of results: The Service Provider does not guarantee that the Client will achieve specific business results as a result of using the Semly.ai service. In particular, Semly.ai does not provide or promise:
a. a specific number of redirects of users of AI Models to the Client's online store (the Platform does not guarantee a minimum or any number of visits generated through AI Models),
b. the conclusion of sales transactions – i.e., that a user of the AI Model who is redirected to the Client's store or website will purchase a product or order a service. - No guarantee of visibility and use of data by AI Models: The Service Provider has no influence over the algorithms, content selection criteria, or operation of AI models and does not guarantee that the optimized data will be used or displayed to users of these systems. Note: The Client acknowledges that the effectiveness of product recommendations by AI Models depends on many factors beyond the Service Provider's control (e.g., user preferences, algorithms and logic of AI Models, competitiveness of the Client's offer, timeliness and quality of product data, etc.).
- Relationship with business clients: The Service Provider is not a party to any sales agreements for products or services concluded between the Client and third parties, even if the transaction was concluded as a result of a redirect from an AI Model obtained through Semly.ai. The responsibility for fulfilling the sales agreement, compliance of the goods with the description, after-sales service, handling complaints, or fulfilling obligations towards consumers (if applicable) rests solely with the Client as the seller. The Service Provider is not responsible for any claims from buyers directed at the Client or for the operation of the Client's online store or website (e.g., website failures, errors in the ordering process, availability of goods, etc.).
- Exclusion and limitation of the Service Provider's liability: To the fullest extent permitted by law, the Service Provider's liability for damages to the Client is excluded or limited. The Service Provider is not liable in particular for lost profits, indirect damages, consequential damages, or special damages incurred by the Client in connection with the use of the Platform (e.g., loss of expected profits, loss of reputation, loss of business data). The Service Provider's liability – if it were to arise in a specific case despite the provisions of the Terms – is limited to the amount of actual damage incurred and may not exceed the total amount of net subscription fees paid by the Client to the Service Provider in the last twelve months of using the service.
- Intentional fault: No provision of these Terms excludes or limits the Service Provider's liability to the extent that, under mandatory legal provisions, such liability cannot be excluded or limited (e.g., in the case of intentional fault).
- Liability for approved content: The Client is responsible for the accuracy, timeliness, and legality of the content they approve for publication or use in any other way, even if generated using artificial intelligence. The Service Provider does not ensure the verification of Content Proposals before their publication and does not guarantee their accuracy. To the extent permitted by law, subject to section 7, the Service Provider is not liable to the Client for the consequences of publishing or using incorrect, outdated, incomplete, or illegal content approved by the Client, particularly for the consequences of failing to verify them. The Client's verification obligation does not exclude the Service Provider's liability for publishing material without the Client's order or in a version other than that approved by the Client. Liability for such events is subject to the remaining provisions of the Terms and applicable legal regulations.
- No guarantee of indexing and recommendations: The generation or publication of content, including in the Knowledge Base, does not guarantee its indexing by search engines, reading or use by AI Models, or achieving a specific brand visibility. The Service Provider does not guarantee the timing of indexing, position in search results, citation of material, brand recommendation, specific AI response content, or achieving traffic, sales, or other business results. To the extent permitted by law, subject to section 7, the Service Provider is not liable for the lack of such results resulting from decisions, algorithms, or actions of independent search engines and AI systems. The removal of material from the Knowledge Base does not guarantee the simultaneous removal of its copies, cache records, or information previously used by these systems.
§ 9. Duration of the contract and termination of the contract
- Duration of the contract: The contract is concluded upon the creation of the Account and acceptance of the Terms and Privacy Policy. It is valid for an indefinite period, and the use of the paid plan occurs in billing periods available for that plan. For the SCALE plan, the billing period is one month. There is no minimum annual period for using the service.
- Renewal of Subscription: If the Client does not cancel the Subscription before the start of the next billing period, it will be renewed for the next period after successful payment. For approved recurring payments, the fee is automatically charged using the selected payment method. The Subscription for the SCALE plan is renewed each time only for the next month. The date of the next renewal is visible on the Client's Account. In the event of a lack of successful payment, § 6 section 6 applies.
- Cancellation of Subscription: The Client may cancel the Subscription at any time, without a cancellation fee, using the function available on the Account or by sending a message to hello@semly.ai. Cancellation constitutes termination of the contract with effect at the end of the current paid period. If it occurs before the next renewal date, the Subscription will not be renewed, and the fee for the next period will not be charged. The Client retains access to the service until the end of the paid period.
- Settlement of the paid period: Cancellation of the Subscription does not shorten the current paid period and does not in itself constitute grounds for a refund of the fee for its unused part. This principle does not limit the Client's right to terminate the contract for important reasons or rights arising from mandatory legal provisions.
- Termination by the Service Provider: The Service Provider may terminate the service contract at the end of the current subscription period for important reasons, particularly in the event of planned termination of the Semly.ai Platform or significant changes to its business profile. The Client will be informed of the termination of the contract by the Service Provider and the non-renewal for the next period at least 30 days in advance (e.g., by email). Additionally, the Service Provider has the right to terminate the contract with immediate effect (before the expiration of the subscription period) in the event of a gross violation by the Client of the provisions of the Terms or legal regulations (e.g., persistently placing prohibited content on the Platform, taking technical actions disrupting the operation of the Platform, acting to the detriment of the Service Provider or other entities). In the event of termination of the contract in this manner, the Client is not entitled to a refund of any subscription fees for the period after termination.
- Effects of termination of the contract: In the event of termination of the contract due to non-payment, the Client's data is stored for the period specified in § 6 section 6, and the rules for their deletion described below apply after this period or earlier, at the Client's request. Upon expiration or termination of the Contract, the provision of services to the Client is terminated. The Platform removes information about the Client's products from its databases and ceases to make them available to systems based on AI Models. As a result, the offers of the Client's products or services may cease to be available or visible to users of these systems – upon the removal of data and after any buffer periods on the side of the utilized AI solutions. The Service Provider may retain only necessary archival information about the Client (e.g., data for accounting purposes, billing history) – in accordance with the Privacy Policy – while all product data will be permanently deleted or anonymized.
- Confirmation of deletion: At the Client's request, the Service Provider will confirm to the Client the deletion of product data and the closure of the Account after the termination of the contract.
§ 10. Technical requirements
- Technical conditions for using the Platform: To properly use the services provided by Semly.ai through the Platform, it is necessary to have:
a. an active Internet connection;
b. a device enabling browsing web resources (e.g., computer, tablet, smartphone) with an installed current version of a web browser supporting JavaScript and cookies;
c. having an active email account for communication and account verification;
d. proper configuration and provision of the product feed according to the technical requirements of the Platform. - Prohibition of analyzing the Platform: It is prohibited to use any tools, codes, scripts, programs, or mechanisms within the Platform, including viruses, worms, bots, automating processes of external scripts, or other technologies that:
a. disturb, overload, or otherwise interfere with the proper functioning of the Platform;
b. override security, authorization, or access control mechanisms;
c. perform unauthorized, unapproved operations, or interfere with the integrity of the Platform's IT infrastructure. - Security: The Service Provider takes appropriate measures, appropriate to the nature of the services provided and in accordance with generally accepted standards, to protect data transmitted and processed through the Platform and to limit access to unauthorized persons. In particular, these measures include, depending on the current state of technical knowledge and level of risk:
a. implementation and maintenance of access control mechanisms, including authentication and authorization of Clients;
b. securing data transmission using recognized technologies;
c. monitoring the environment and detecting anomalies and security incidents along with established response procedures;
d. managing patches and updates of the Platform and conducting periodic security tests, including penetration tests and audits;
e. implementing solutions that increase the resilience of the infrastructure against abuse, including environment separation, redundancy, and creating and storing backups.
§ 11. Complaints
- Addresses for complaints: Any complaints and reservations related to the functioning of the Platform should be directed in the form of:
a. written to Droplo sp. z o.o., ul. Uczniowska 16, 58-306 Wałbrzych, Poland
b. in electronic form to hello@semly.ai. - Content of the complaint: The complaint should include a description of the problem that is the basis for the complaint. A complaint may only be submitted by the Client and should relate to the non-performance or improper performance of the service by the Service Provider, particularly consisting of:
a. a lack of access to the Account for more than 24 hours due to reasons on the part of the Service Provider;
b. an incorrect operation of the Platform mechanisms resulting in the inability to provide or update the product feed, despite the Client meeting all technical requirements;
c. an incorrect charge for payment. - Exclusions: Complaints cannot be submitted on the grounds of:
a. a lack of expected results (e.g., conversions, sales levels);
b. the variable nature of content generated by AI Models,
c. a lack of access to the effects of processing and optimization of the product feed. - Response to the complaint: The Service Provider responds to the complaint in writing, in electronic form, or in a form allowing for its preservation on a durable medium.
- Deadline for consideration: Complaints will be considered promptly, in the order of their receipt, but no later than within 30 days of their receipt.
- Supplementing the complaint: If the complaint does not meet the requirements mentioned in sections 2-3 regarding the description of the problem or event that is the basis for its submission, the Service Provider may ask the Client to supplement it within a specified period, not shorter than 7 days. In such a situation, the deadline for considering the complaint mentioned in section 5 is suspended until a response is obtained. If no response is obtained within the specified period, the Service Provider may leave the complaint unrecognized.
§ 12. Final provisions
- Governing law: The governing law for the contract between the Client and the Service Provider, the content of which constitutes these Terms, is Polish law. In matters not regulated in the Terms, the provisions of the Civil Code and the Act of July 18, 2002, on the provision of electronic services apply in particular.
- Jurisdiction and dispute resolution: Any disputes arising in connection with the provision of the Semly.ai service will first be attempted to be resolved amicably by the parties. In the absence of an amicable resolution of the dispute, the competent court for resolving the dispute will be the common court competent for the location of the Service Provider's registered office.
- Changes to the Terms: The Service Provider reserves the right to make changes to these Terms during the term of the contract. The Service Provider will inform the Client of any planned changes to the Terms with appropriate advance notice, not shorter than 14 days before the changes take effect, by announcing on the Platform's website or by sending information to the email address assigned to the Client's Account. Such communication will indicate the date of entry into force of the new Terms.
